Terms & Conditions
This contract ("Contract") is entered into by Still Meadows Boutique ("SMB") and the "Client" on the date of acceptance/purchase by the Client.
1 Services. SMB agrees to preserve Client's flowers using resin preservation methods. The preservation process involves coating the flowers in a clear, durable resin to protect them from damage and fading. Client agrees to provide SMB with the flowers to be preserved. The flowers will either be shipped overnight by the Client, or dropped off at the address provided by SMB.
2 Payment. Client agrees to pay SMB the total cost of the preservation services before any work begins, which will be collected at the time when the online purchase takes place.
3 Timing. SMB will use all reasonable efforts to complete the preservation process within 12-18 weeks of receiving the flowers. If SMB is unable to complete the preservation process within that time due to supply shortages of materials outside the control of SMB, SMB will notify the Client and provide an estimated completion date.
4 Quality. SMB will use all reasonable efforts to preserve the flowers to the best of their ability. However, SMB makes no guarantees regarding the final appearance of the preserved flowers. The preservation process may cause changes in color, shape, and texture of the flowers.
5 Copyright & Ownership. Client agrees that sending or dropping off their flowers with SMB constitutes a transfer of ownership to SMB. Upon completion of the floral product, SMB agrees to transfer ownership of the flowers back to the Client. SMB retains the right to record and display photographs and/or video of the Client's floral product on Stillmeadowsboutique.com and SMB social media accounts for marketing purposes.
6 Limitation of Liability. SMB shall not be liable for any damage or loss resulting from the preservation or shipping process. Client agrees to release and hold harmless SMB from any and all claims, demands, damages, and causes of action, including but not limited to, any damage or loss to the flowers during the preservation or shipping process. Should damage occur during the preservation process, SMB will communicate with the Client to determine a reasonable and mutually agreed upon solution to the problem. Any damage or loss of goods related to the shipping of the flowers and final product are the responsibility of the shipping carrier.
7 Termination of Services. Should the Client request a termination of services based on changes in their personal circumstances, SMB may decide on a case-by-case basis whether to issue a refund, minus the $400 minimum as well as any cost incurred to SMB for materials purchased in order to fulfill the order. The decision will be at the discretion of SMB, as all sales are considered final. If the Client has already transferred ownership of their flowers to SMB and would like them returned, and the flowers have not yet been preserved in resin at the time of Termination, SMB will work with the Client to return their flowers at the expense of the Client. If the resin-preservation process has already begun at the time of Termination, SMB will maintain ownership of the flowers to utilize at their discretion.
8 Governing Law. This Contract shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia.
9 Entire Agreement. This Contract contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written.
10 Acceptance. Purchasing any number of custom products constitutes acceptance of the terms and conditions of this Contract by the Client.
